You form an LLC in Arkansas by filing a Certificate of Organization. It goes to the Secretary of State's Business and Commercial Services Division. The fee is $45 online, or $50 by mail or in person. The state also bills every LLC a flat $150 a year, due May 1 no matter how the company performed.

This guide walks through forming a brand-new domestic LLC in Arkansas. If your LLC already exists in another state, you'll file a different form to register it here instead. The FAQs below cover the basics of that process.

The rest of this page breaks the process into six steps. You'll also see the exact filing details on the Certificate of Organization and what starting an LLC costs. Then come the Arkansas rules that shape the process and what to line up once the state approves you.

Quick Summary

  • Check your LLC name against the Secretary of State's records first. A name too close to another gets your filing rejected.
  • Arkansas lets a member, manager or other in-state agent handle registered agent duties. That address becomes a public record once you use it.
  • File your Annual LLC Franchise Tax Report on time. The state can revoke your LLC if you miss it.

How to Start an LLC in Arkansas: 6 Steps

Forming an LLC in Arkansas comes down to six steps. Handle them in order and you'll end up with a filed, compliant LLC without redoing any paperwork.

Step 1: Choose and check your LLC name

Your name must include the phrase "Limited Liability Company" or "Limited Company," or an abbreviation like LLC, L.L.C., L.C. or LC. It also has to be distinguishable from every other name on file with the Secretary of State [1].

Some words need sign-off first. "Bank," "trust," "engineer" and insurance-related terms each need approval from the state board that regulates that field [2].

Search the Business Entity Search tool before you commit. If you're not ready to file, reserve a name for 120 days. It costs $22.50 online or $25 by mail.

Step 2: Appoint a registered agent

Every Arkansas LLC needs a registered agent with a physical street address in the state. A P.O. box doesn't qualify.

A member, manager or any other individual or business entity with an Arkansas address can serve. Naming that person on your Certificate of Organization counts as their consent to accept legal mail for the company.

If you'd rather not use a home address, a registered agent service in Arkansas can stand in for you instead.

Step 3: File the Certificate of Organization with the Secretary of State

The Certificate of Organization is the document that creates your LLC. File it online for $45, or mail or drop off a paper copy for $50. Keep reading for the full field-by-field breakdown of what Arkansas asks for and what comes back once it's approved.

Step 4: Create an operating agreement

Arkansas law doesn't require an operating agreement, and it can be spoken or informal instead of written down. Without one, the state's default LLC rules decide how your company runs if members disagree.

Step 5: Get an EIN

An EIN is free at irs.gov, and the IRS issues it immediately once your online application is approved. You'll need one to open a business bank account, hire employees or register with the state's Revenue Division for tax accounts.

Step 6: File your first Annual LLC Franchise Tax Report

The state doesn't have a separate initial report. Instead, your first Annual LLC Franchise Tax Report comes due the May 1 after you form. It costs a flat $150 no matter how the company performed, so set a reminder now.

Filing the Certificate of Organization in Arkansas: What to Expect

Here's exactly what the Certificate of Organization asks for, what it costs and what happens after the Secretary of State receives it.

1. What the form asks for

Form LL-01 asks for four things. It wants your LLC's name, the street address of its principal office, and your registered agent's name and address.

It also needs the name and title of at least one member or manager who handles franchise tax. The form leaves room for two organizers to sign, but state law only requires one.

There's no field for a stated business purpose or how long the LLC will last. That makes Arkansas's form shorter than the paperwork in many other states.

2. Fee and payment methods

Filing online costs $45, paid by credit card through the filing system. That's a flat total, with no separate card-processing charge added on top.

Filing by mail or in person costs $50 instead, paid by check or money order made out to the Arkansas Secretary of State.

3. Processing times

The state doesn't offer an expedited option at any price. Due to heavy volume, the Secretary of State currently estimates 3 to 5 business days for every filing method.

Filing methodProcessing time
Online3-5 business days
Mail3-5 business days after received
In person3-5 business days (dropped-off documents)
ExpeditedNot offered
Current state estimate"Due to heavy volume, the anticipated filing time for all corporation/LLC filings" -- mailed, dropped off or online -- is 3-5 business days

4. Where to mail or file in person

Mail your paperwork, or drop it off, at the Business and Commercial Services office: Victory Building, 1401 W. Capitol Avenue, Suite 250, Little Rock, AR 72201.

The Secretary of State also keeps a Northwest Arkansas office at Today's Bank Building, 300 North College, Suite 201F, Fayetteville, AR 72701.

A filing becomes effective the date the office actually receives it. Build a little cushion into your timeline if a deadline is close, since your mailing date doesn't count.

5. Common reasons filings are rejected

The Secretary of State doesn't publish a list of specific reasons a filing gets rejected. Before you submit, confirm your name is still available.

Also check that the registered agent's address and the officer's name and title are filled in. Form LL-01 requires all of them.

6. What you receive when it is approved

File online and you'll get an emailed confirmation once the Secretary of State processes your Certificate of Organization. Watch your junk folder for it, since these notices come from the state's ark.org mail system and spam filters sometimes catch them.

You can also order a certified copy of your filed certificate for $5 plus 50 cents a page. Get one if a bank or another agency needs proof.

What It Costs to Start an LLC in Arkansas

Here's every fee Arkansas charges to form and maintain an LLC, from the initial filing fee through the annual franchise tax. It also covers what's strictly optional along the way.

Cost itemAmount
State filing fee$45 online, $50 by mail or in person
Name reservation$22.50 online, $25.00 by mail (Application for Reservation of an LLC Name), reserved for 120 days
Registered agent$0 when a member, manager or other in-state individual or entity serves as agent. No state-published commercial-agent price
Certified copy$5.00 for the certificate plus $0.50 a page for copying
Expedited filingNot offered
Annual reportAnnual LLC Franchise Tax Report, flat $150, due on or before May 1 each year
Other mandatory state feesNone. Franchise Tax Registration filed alongside Form LL-01 carries no fee. The only other mandatory ongoing cost is the $150 Annual LLC Franchise Tax Report

Name reservation and a certified copy are optional. Pay for them only if you want extra time before filing, or need proof of your filing for a bank. Hiring a paid registered agent is optional too. A member or manager can do that job for free, as long as they keep a real Arkansas address.

Arkansas-Specific Rules That Change the Process

These are the rules that make forming an LLC in Arkansas different from doing it in most other states. They range from restricted words to what happens if you miss a deadline.

1. Restricted words need another agency's sign-off

Want "bank" or "trust" in your name? You need a letter from the Arkansas State Bank Department first. "Engineer" or "engineering" needs sign-off from the State Board of Licensure for Professional Engineers and Professional Surveyors.

An insurance-related name needs permission from the Arkansas Insurance Department. Even "Razorback" or "Red Wolf" needs a letter from the university that owns the name.

2. Professional LLCs need a different name and sometimes a licensing board

An LLC that renders a licensed professional service must use a different name. It adds "Professional Limited Liability Company" or "PLLC" instead of the regular designator.

Medicine needs a certificate of registration from the Arkansas State Medical Board too. Dentistry has its own registration rule under the Dental Corporation Act.

3. Member and manager names become part of the public record

The Certificate of Organization has to name at least one member or manager. Your Annual LLC Franchise Tax Report lists them again and states whether the LLC is member-managed or manager-managed. Both filings sit in the Secretary of State's public records.

4. Registering an LLC formed in another state

An LLC formed outside Arkansas registers here before it starts doing business in the state. It files an Application for Certificate of Registration of Foreign LLC for $300 with the Secretary of State.

5. Arkansas has no general state business license

There's no single state license every LLC needs. A state board, commission or trade group regulates your line of work instead, such as the Arkansas Real Estate Commission for real estate. Your city or county may also add its own local license or permit.

6. Missing the franchise tax report puts your LLC at risk

Skip the May 1 deadline and the state adds a flat $25 penalty, plus interest. The state can also revoke your LLC's authority to do business until you catch up.

There's no separate reinstatement form. File every missed report and pay what's owed, and your LLC goes back into good standing.

What to Do After Your Arkansas LLC Is Approved

Filing your Certificate of Organization is only the first step. Bring the filed certificate and your EIN to a bank to open a business account.

The state doesn't issue one blanket business license. Check with the board or commission that covers your industry. Then call your city or county to see what local permits apply where you'll operate.

Register with the Arkansas Department of Finance and Administration's Revenue Division if you'll collect sales tax or have employees. That's where withholding and sales-tax accounts get set up. It's separate from the franchise tax you pay to the Secretary of State.

Put May 1 on your calendar every year to file that franchise tax report. It's the one deadline that keeps your LLC in good standing with the state. See our guide to how to start an LLC for the general framework you can apply to forming a company in any other state, too.

Compliance itemDeadline, fee and department
