How to File an LLC Annual Report in Missouri (2026)
Missouri does not require an LLC annual report. The state collects a yearly registration report only from corporations and nonprofit corporations, never from limited liability companies.
The Secretary of State's office has one more expectation for every LLC. We cover it, and the two forms that keep it current, below.
This page covers what Missouri actually requires from an LLC. You'll find the two forms that come up most, plus what happens if a registered agent lapses.
Quick Summary
- Keep your registered agent address current. An outdated address means legal notices go nowhere.
- File the paper forms when something changes. Missouri offers no online filing for these changes.
- Have your charter number ready before you file either form. Both Corp. 59 and LLC-12 ask for it.

What Missouri Requires From an LLC and How to Update It
Missouri's LLC law is Chapter 347 of the state code. It skips a report rule entirely. There is no annual report, no biennial report and no registration report [1].
Many other states run things a different way. Read how a typical LLC annual report works before you assume Missouri does the same.
Missouri does require something else. Every LLC must keep a registered agent and a Missouri office current at all times [2]. Two forms cover the changes that come up after you form your LLC. Both go to the same Corporations Division by mail.
1. Change Your Registered Agent (Form Corp. 59)
File Form Corp. 59 when your registered agent changes, your registered office address changes or both change. The new agent signs the form. Missouri charges a $10 fee.
Send the form to the Corporations Division at PO Box 778, 600 W. Main St., Rm. 322, Jefferson City, MO 65102. Plan ahead. You can change your registered agent in Missouri before the current one resigns.
2. Amend Your Articles of Organization (Form LLC-12)
File Form LLC-12 for bigger changes. Common ones include a new company name, a shift to manager-managed structure, or a new dissolution date. The $25 fee covers whatever you amend.
This form amends the articles you filed when you first start an LLC in Missouri. Send it to the same Corporations Division address. The form lists no online filing option.
What to Include When You File a Change
Both forms ask for your charter number and your LLC's current name. Keep a copy of your formation paperwork handy before you start. Form Corp. 59 also needs the new agent's signature. Form LLC-12 lists the principal office address as optional.
Form Corp. 59 has its own ground rules. A PO Box only works alongside a real street address, and your LLC cannot name itself as its own registered agent. An authorized member, manager or officer signs too, confirming the LLC approved the change.
Form LLC-12 lets you set a future effective date, up to 90 days after you file. State the date the triggering event happened, and check whether the amendment came from the operating agreement, RSMo Chapter 347 or both.
Form Corp. 59 and Form LLC-12 each list one flat fee. Neither form shows a reduced-fee line for a small change.
Risks of an Outdated Registered Agent
Only a court can dissolve a Missouri LLC. It takes a real, specific cause. Missouri never runs a late fee or a dissolution clock, because no report is ever due.
The attorney general can ask a court to step in over fraud in procuring the LLC's articles, an abuse or excess of its legal authority or illegal acts against public policy.
A member can also ask a court to step in when the business can no longer run under its operating agreement [3].
The bigger everyday risk is different. It is a registered agent nobody can reach, or a registered office that no longer exists.
Missouri will not stand in as agent for a Missouri LLC. A legal notice can go unanswered until you fix either problem.
Keep Your Registered Agent Current
A best registered agent service in Missouri accepts service of process at a stable address and forwards legal notices promptly.

What Happens if My Missouri LLC's Registered Agent Resigns?
