Start with the Sunbiz records search and match the document number to your LLC. Save the status and any return or denial message so you can identify the filing route.

A Florida LLC administratively dissolved under section 605.0714 may apply for reinstatement at any time after dissolution. The statute does not impose a general one-year application deadline [1].

Voluntary dissolution uses a separate revocation procedure, available before 120 days have passed after the dissolution becomes effective and only before an effective termination filing. An eligible Florida LLC uses the Statement of Revocation of Dissolution and attaches its dissolution filing [2].

If Florida revoked a foreign LLC’s authority, section 605.0909 governs reinstatement of that authority. It also permits an application at any time after revocation [3].

The LLC Name or Application Details May Need a Separate Fix

The online reinstatement application cannot change the LLC’s legal name. After more than one calendar year, the Division checks name availability and requires a mailed name-change amendment if the name is unavailable [4].

For a Florida-formed LLC, the official Articles of Amendment cover a name change. A foreign LLC should use the corresponding foreign-LLC amendment listed on the Sunbiz LLC forms page instead.

If the existing record says the federal employer identification number (FEIN) was “Applied For,” enter the assigned number before proceeding. Check the legal name, principal-office street address, mailing address, and email against the application instructions.

Delinquent Reports, Fees, or Missing Signatures

Missing annual reports can lead to administrative dissolution, and unpaid filing fees or registered-agent problems can also matter. Use the actual notice to identify which records and payments need attention.

Reinstatement requires all fees and penalties then owed, together with the required company information. Both the registered agent and an authorized company representative must sign; one signature does not replace the other.

Check the organization date for a domestic LLC or the formation jurisdiction and Florida qualification date for a foreign LLC. Include the name, title or capacity, and address of at least one person authorized to manage the company.

The reinstatement statutes also allow a qualifying current annual report containing the required information and both signatures instead of a separate application. Confirm the Division’s filing route for your record before treating an ordinary annual-report submission as reinstatement.

Separate Sunbiz Status From Tax and License Accounts

Separate the entity’s Sunbiz record from a tax account, professional license, or local permit. A filing error should be addressed using the Division’s message, while a separate agency notice needs its own response.

Compare the business name and document number on each notice before deciding they concern the same filing. Keep the notices together, but record the missing information, amount, and response date for each one separately.

If the problem concerns a reinstatement field or payment, follow the filing instructions and ask the Division about an unresolved error. For a license or tax issue, contact the issuer named on that notice and confirm what it requires to restore that account.

After reinstatement, check the other accounts again rather than assuming an active Sunbiz record completes every renewal. Keep the entity confirmation and any separate agency confirmation with the LLC’s records.

If the Division Formally Denies the Application

For a Florida LLC denied reinstatement after administrative dissolution, the Division must serve a notice explaining its reasons. Section 605.0716 gives 30 days after service to petition the Circuit Court of Leon County for review [5].

The petition must be served on the Department and include the dissolution notice, reinstatement application, and denial notice. Contact a Florida business attorney promptly because an unresolved help request does not change the statutory deadline.

The fee schedule separately lists $538.75 for an annual report received after May 1. Do not use that late annual-report figure as the per-year reinstatement charge; review the total presented for the actual filing.

Submit and Confirm the Reinstatement

For an administratively dissolved or revoked record, use the official Online Reinstatement Filing and enter the document number. Review the information carefully because the filing page says a submitted reinstatement cannot be changed, canceled, removed, or refunded.

Sunbiz accepts supported cards or a prepaid e-file account online. Paying by check or money order requires mailing the generated payment voucher with payment, which is processed in the order received.

An “in the queue” message means the filing has been received but has not yet been processed. Wait for it to post, then verify that the entity record shows active and download the filed document [7].
