  • The new name contains the words "Limited Liability Company" or the abbreviations "L.L.C., Ltd, Co, or LC."
  • The new name must be distinguishable from any other business entity on file with the Idaho Secretary of State.
  • The term "professional" may appear before the word "limited," or the letter "P" may occur at the start of any of the authorized abbreviations if the LLC is a professional entity (such as a law firm).
  • Restrictions to names similar to those of state or federal agencies like the FBI, Treasury, Idaho Police, etc. [1].

2. File a Name Reservation Form

You can reserve your Idaho business name if you don't want to amend the Certificate of Organization immediately by filing an Application for Reservation of Legal Entity Name to the Idaho Secretary of State.

The application will be processed, and your name will be held for 120 days.

3. File an Idaho Amendment to Certificate of Organization

Complete and file the Amendment to Certificate of Organization Limited Liability Company form to the Idaho Secretary of State's Office to legally change your company name [2].

Your document must be completed with the following:

  • LLC's current name.
  • The date the certificate of organization was originally filed.
  • Name the LLC is changed to.
  • Signatures of an authorized person.
  • Contact information.

Idaho Amendment to Certificate of Organization filings are made online, in person, or by mail. Payment for paper filings must be made by check payable to the "Idaho Secretary of State" or using a credit card if filing online.

Log in to your Idaho SOSbiz account or create one by clicking "Create An Account" to amend your Certificate of Organization online.

After logging in, choose "My Records." Select "File Amendment" after clicking on the name of your company. Submit the form with the $30 filing fee.

For mail or in-person filings, submit two copies of the Idaho LLC amendment form and a $50 filing fee to the following mailing address:
